Terms of Service

01Acceptance of Terms

By accessing or using PT5 China Sourcing Management Co., Ltd.'s ("PT5", "we", "us", or "our") website and services, you agree to be bound by these Terms of Service. If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you and PT5 regarding your use of our sourcing, quality control, warehousing, and fulfillment services.

02Description of Services

• Product Sourcing: Finding and purchasing products from Chinese suppliers.
• Quality Control: Inspecting products before shipment.
• Warehousing: Storing products in our China facilities.
• Custom Branding: Adding your branding to products and packaging.
• Order Fulfillment: Packing and shipping orders to your customers.
• Logistics Management: Coordinating domestic and international shipping.
• Consulting Services: Business guidance for China sourcing.

We act as your agent for sourcing and fulfillment. We do not own the products unless explicitly stated otherwise.

03Account Registration

To use our services, you may need to create an account. You agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your account credentials.
• Notify us immediately of any unauthorized access.
• Accept responsibility for all activities under your account.
• Be at least 18 years old or have legal capacity to enter contracts.

We reserve the right to suspend or terminate accounts that violate these Terms.

04Orders and Payments

• Orders are placed through WhatsApp, email, or designated communication channels.
• All orders are subject to acceptance and availability.
• We will confirm orders with pricing before processing.
• You are responsible for providing accurate product specifications.
• Product costs are based on supplier pricing plus our service fee.
• We use Bank of China exchange rates for currency conversion.
• All fees are itemized in your invoice.
• Additional fees may apply for special services such as custom packaging or photography.
• Prices are subject to change based on supplier pricing.
• Full payment is required before order processing unless otherwise agreed in writing.
• You are responsible for any payment processing fees.

05Product Sourcing and Quality Control

• We source products based on your specifications.
• We verify suppliers but cannot guarantee their performance.
• Product availability is subject to supplier stock.
• We will communicate any delays or issues promptly.
• Basic QC is included with all orders.
• Detailed inspection is available for additional fees.
• QC reports are provided before shipment.
• You may approve or reject products based on QC results.
• Rejected products will be returned to suppliers at your cost or disposed of as instructed.

We cannot guarantee products will meet your customers' expectations. Variations may occur between samples and bulk orders, and minor cosmetic defects may not be grounds for rejection.

06Warehousing and Storage

• Free storage for 90 days from first inbound date.
• After 90 days, storage is charged at $10 per cubic meter per month.
• Storage fees are calculated per SKU.
• You may remove inventory at any time.
• We are not responsible for product damage caused by natural disasters, fire, flood, force majeure events, product defects, or improper storage requirements not communicated to us.

07Shipping and Delivery

• We arrange shipping through third-party carriers.
• Delivery times are estimates, not guarantees.
• Risk of loss transfers to you upon handover to the carrier.
• You are responsible for providing accurate shipping addresses.
• Customs duties and taxes are your responsibility.
• We will provide tracking information when available.
• Delays due to customs, weather, or carrier issues are beyond our control.

08Intellectual Property

• You retain ownership of your trademarks, logos, and branding.
• You grant us a license to use your intellectual property solely to fulfill orders.
• You warrant that you have rights to use any intellectual property you provide.
• We are not responsible for intellectual property infringement by suppliers.
• You are responsible for ensuring your products do not infringe third-party rights.

09Prohibited Products

You may not use our services for:

• Illegal products or activities.
• Weapons, ammunition, or explosives.
• Drugs or controlled substances.
• Counterfeit goods.
• Hazardous materials without proper disclosure.
• Products violating import or export regulations.
• Products that infringe intellectual property rights.
• Any items prohibited by destination country laws.

We reserve the right to refuse service for any prohibited items.

10Insurance

• Order insurance is optional and available for additional fees.
• Coverage details are specified in the applicable insurance terms.
• Maximum claim limits apply.
• Not all product types are insurable.
• Insurance does not cover customer returns, improper use, customs seizures of prohibited items, delays, or indirect losses.

11Limitation of Liability

To the maximum extent permitted by law, PT5's liability is limited to the fees paid for the specific service giving rise to the claim.

• We are not liable for indirect, incidental, or consequential damages.
• We are not liable for lost profits or business interruption.
• We are not liable for issues caused by suppliers, carriers, or customs authorities.
• We are not liable for delays beyond our reasonable control.

12Indemnification

You agree to indemnify and hold PT5 harmless from any claims, damages, or expenses arising from your violation of these Terms, product infringement issues, inaccurate information, violation of applicable laws, or customer complaints and claims.

13Termination

• You may stop using our services at any time.
• We may terminate for violation of these Terms.
• Outstanding orders must be settled before termination.
• You must remove or arrange disposal of stored inventory.
• Fees paid for completed services are non-refundable.

14Dispute Resolution

• Parties will first attempt to resolve disputes through good-faith negotiation.
• If unresolved, disputes will be submitted to mediation.
• If mediation fails, disputes will be resolved through binding arbitration in Mainland China.
• These Terms are governed by the laws of Mainland China.
• You consent to the exclusive jurisdiction of courts in Mainland China.

15Force Majeure

We are not liable for failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, government actions, pandemics, supplier or carrier failures, internet outages, or communication failures.

16Changes to Terms

We may update these Terms from time to time. Changes will be posted on our website with an updated date, effective immediately upon posting, and notified to registered users for material changes where appropriate.

Your continued use after changes constitutes acceptance.

17Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect, and the invalid provision will be modified to the minimum extent necessary to make it valid.

18Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and PT5 regarding our services.
